Here we are, the 3rd of April. The day after Rangers International Football Club lost its right to trade its shares on the London Stock Exchange.

Predicted by yours truly and just about every other member of the RSL.

We’ve had Merlin, From The Blue Room and countless others tell anyone who would listen that this was inevitable.

To start with let’s get straight to our Interim Chairman’s statement released yesyerday. He tells us it’s the lack of corporate governance by the previous board that’s the reason for their failure to stop the delisting of the club.

That is utter garbage. Bullshit. You can dissect and dismantle that argument instantly. The previous board had a nomad. That nomad said they would resign if this lot of requisitioners won the right to run the club. Which they duly did.

Four weeks ago Dave King told us he had a nomad in waiting – a matter of days he said. There was no issue and suspension from the AIM would be rectified . We would have no problems we were told.

A fortnight ago Dave King went back to South Africa and to my knowledge hasn’t returned since. In case it has escaped the new regimes attention, the support is in meltdown today!

Thousands upon thousands of us have had the value of the shares we bought to help our club in its hours of need obliterated. Shares that were bought for seventy pence now trading at three pence. Cheers for that.

But it’s ok, it’s all the previous directors fault we are told. The directors that were working for Mike Ashley. How many of Mike Ashley’s companies have been delisted?

You honestly couldn’t make this shit up. This new board, full of Rangers Me , blame the previous board for their inability to stay on the stock exchange. And we are supposed to believe that, are we?

I’ll suggest something here that Paul Murray hinted at it in his rant. He whispered something about Rangers being the most complained about PLC on the entire market over the last year!

Now here’s a thing to chew on folks…

I knew this. People that work in the City knew this. Merlin told me this himself months ago. He stated to me that the biggest single danger the club faced over the last year was the prospect of being delisted.

That was down solely to the incredible number of complaints to the AIM and FCA. You want to know where those complaints were coming from? Aye, you guessed it, from the people that were backing King Co. Trying to cause as much hindrance as possible to the board.

It worked really well didn’t it? The new regime has caused the AIM so much grief that it thinks we are toxic. That is not down to the previous board – that is solely down to this board and its backers actions  when trying to gain control of the club.

If this had happened under Charles Green or Sandy Easdale there would be red cards waving, Spivs Out banners and demonstrations at the front doors of Ibrox. The double standards and hypocrisy here are quite spellbinding.

Dave King, the man a South African judge called a glib and shameless liar and a mendacious witness has told a big porky. He told the entire nation he had a nomad. What a load of cock! We know on here that he tried approximately ten nomads, kept getting told the same answer so then it became Dougie Park’s turn to attempt in this impossible quest to find this miraculous nomad.

My guess is that they probably got one, after they stopped using Dave King’s name during the process. Still not enough though, for as long as King is associated with Rangers the market won’t touch u ! The AIM was telling any nomad willing to do the job not to touch us with a barge pole cos they wouldn’t be!

For these people to blame others for their mistakes and failings beggars belie . It’s not working, either. Apart from those incredibly devout Kingites, nobody believes a single word of the pap they churned out yesterday .

We are now delisted. We have been in danger of alienating an entire religion because of a buffoon’s tweet.. No sign of King’s thirty million (stop laughing at the back !) and a board that are at each others throats in regard to investment. I’m sure it’s the old boards fault though…

Now here’s the thing I can’t get my head round. Dave says he’s got thirty million, then that went down to ten, with other investors weighing in the rest. Sounds odd right away when you consider the total spend required to sort out out the wreckage that is Rangers.

It’s not enough, not even close. So why did King say thirty million then backtrack to ten million the instant he got control?

Well he did say his preferred option was to delist from the AIM. Will that make it less costly for him? You’d think if he can now buy the shares of the Institutional Investors for buttons then, yes, obviously.

Will they sell to him? My instinct tells me n . Would they be more likely to sell to Sandy Easdale or even Mike Ashley if he was in a position to? I would think so. I know the Institutional Investors don’t like or respect this lot one bit so doing a deal with them will stick in their throats I’d imagine.

So what is Dave King’s endgame here? To gain complete control he has to delist in order to chase away the big gun investors already there. That might prove harder then he first figured. It was highly noticeable that almost immediately Sandy Easdale has hinted at possible legal action in regards to the delisting of the company.

Will others follow suit? Will Mike Ashley do likewise? There are some seriously heavy hitters that are going to be majorly peed off at this turn of events, obviously.

Could that be why so many of them abstained at the general meeting I wonder?. Was the abstinence a decision to not recognise the faux legal process?. Did they know what the Real Rangers Men were trying to do?

It’s now common knowledge that the Financial Conduct Authority have been and are actively investigation the goings on at Rangers. Did the major shareholders know there was something likely to happen in the near future? Time will tell I suppose.

What isn’t really common knowledge though is this: Dave King is in line to receive a small fortune from BDO, the liquidators of the old company that used to own Rangers.

Ticketus have been told by the Court to pursue Craig Whyte, not Rangers or the liquidators. HMRC will get their money they’re due also.

Dave King is a primary creditor; his claim is for the infamous twenty million he was supposed to have given Rangers years ago. So in effect Dave King is the top creditor in regard to oldco  and trying to get into position to be top dawg in the club right now.

I wonder what Douglas Park makes of that. I’d also be intrigued to know if Mike Ashley is aware of this little titbit.

Ashley has security on the Albion car park, Edmiston Club and Auchinhowie training complex.

Dave King (if he wanted to merge or amalgamate oldco and newco) needs those assets.

What is the endgame for Park and King? They need to find a way to rid the club of Ashley for them to get in a position to run things their way without opposition. Not easy and if Ashley doesn’t want to play ball, he won’t..

This is an asset grab by the looks of it. Stage one completed yesterday with the delisting. I got information that proves there have been lies told recently. Big whoppers at that  but can’t get too detailed right now.

Rangers fans need to wake up to what’s going on here. If things don’t improve very quickly we might not have a football team to support for much longer.

And there are a growing number of people who believe that might actually be the sinister end game here…

King £30 million , Park £10 Million, Kennedy £10 million all promised and add to that season book sales and a rights issue is another possible £20 million , The board could easily pay off the £5 million Ashley loan and build us a team to win us the league and get into group stage of CL if promoted meaning the money is back in the coffers the following year.

    Simple as that Mr Murray and more and more fans see this and the irony of the lack of a transparent board is not lost on us and it should maybe wake you all up a bit.

  2. Nothing new last night but still was a shock. Rangers didn’t do too much wrong in my opinion but most likely did what was asked and little more than that if anything. A couple of errors from Wallace, who has been a lonely light in a dark place for years, and a bit of that old-fashioned rushed football (old habits dies hard) saw us 2-0 and floundering before we knew it.

    The change I’d have made by half-time would be to stop getting the ball forward so quickly and let our better players have more time to do things, but what do I know? Especially since we chronically lack creativity from anywhere. The way we were doing things yielded only successive corners we couldn’t take advantage of even if the delivery was good, which half the time it was to be fair. Still expect much better in that department though in weeks to come.

    Desire is another thing. I don’t think Rangers players showed a major lack of it (I think I saw Templeton do a fair bit of closing down first half) but rather were not gushing with it through every vessel as the QoS boys were. Again, old habits maybe. Expecting a win in fourth gear rather than top was a major part of the problem. An improvement but still not enough for last night.

    QoS were fearless and knew their business. We were short of perfect, made a few errors and were punished every time, as happens in Scottish football against us. Could do better, harsh result and a hard lesson. Just an opinion but I think on the pitch we’re still heading for the top division. It’s only a question of there being enough time for Stuart McCall to drum home the points he needs to.

  3. Surely we have the personnel in our youth ranks to pop another defender in and stick to the five at the back ?

    Surely our manager is tactically aware that he could have switched Templeton and Vučkić which stops the constant cutting inside defenders read so well last night ! Or surely they knew tactically the could have put Vučkić up top with Clark and put Miller and Templeton out wide and switching them if needed ?

    Ultimately tactically Q.O.S have our measure and McCall’s Motherwell failings showed up of not changing it up in play leaving us exposed and ultimately despite dominating possession and set plays , still deservedly get beat by the better footballing team. Do any of us fancy playing them in the play Off’s ?

    All I can about the defeat last night was that Stuart had said prior too it that not to get carried away because we had won 3 games in trot.How right he turned out too be but was
    certainly a real downer getting beat and more so by 3-0.Why oh why with 14 corners they couldn’t even get one goal from them.So a big Ouch here.

How come in the event of Rangers taking part and gaining promotion to the spfl it will cost us in the region of £1.2 million ,surely the only league in the world where it costs you cash for promotion.Only here in this scottish backwater can this happen,the cspfl have excelled themselves with this one ,then to state if you gain promotion you get 2-300 thousand back in august,nice one.
    A wee aside on the passing of turnbull hutton ,at least we wont have him trying to put the boot into Rangers any longer.Gone all right but not forgotten not by me anyway.

    5 / Can you provide list of people who passed and failed fit and proper at RIFC

    Retention and role of a nominated adviser
    1. In order to be eligible for AIM, an applicant must appoint a nominated adviser and an AIM company must retain a nominated adviser at all times.
    The nominated adviser is responsible to the Exchange for assessing the appropriateness of an applicant for AIM, or an existing AIM company when appointed as its nominated adviser, and for advising and guiding an AIM company on its responsibilities under these rules.
    The responsibilities of nominated advisers are set out in the AIM Rules for Nominated Advisers.
    If an AIM company ceases to have a nominated adviser the Exchange will suspend trading in its AIM securities. If within one month of that suspension the AIM company has failed to appoint a replacement nominated adviser, the admission of its AIM securities will be cancelled.

    So, delisting was because the company hadn’t retained a nominated adviser [NOMAD]………more lies from Paulie ?!!!!

    What a day yesterday, Ibrox loud and proud even my grandaughter said it was like old times and she’s only 15!

    At least for the moment we have a team being coached, organised and playing as though they actually enjoyed being Rangers players and what that means, do or die in spades!

    There’s no doubt in my mind that if our gardening friends had still been there Rangers would not have won yesterday. When they went down to 10 men after “elbows” McCulloch was sent off it was clear there was a method in how they were set out after the half-time break and it worked.

    So Stuart McCall I salute you, well done, you have made players who couldn’t play all season look like they are really starting to see what it means to be a Rangers player.

    Their effort, closing down, even passing, spirit, desire was evident and once again Vucick stole (for me) the show, what a goal, you can sense once he starts to move into position just on the edge of the box that he knows what he’s doing and you instictively know he’s going to score.

    Hearts were applauded onto the pitch and Rangers then played them off of it!

    It’s beginning to look a little more promising and I think if another must have three points are gathered on Thursday versus QoS our chances of maintaining second place (when we should have been first!) and getting through the play-offs rises significantly.

    Isn’t it amazing how things change with just a better outlook, better organisation, better coaching, professional player management and the skill to have players who a few weeks ago couldn’t win a game nor beat part-time teams below them now has the look of not only a winning promotion team but with careful management and addition of much better players, who knows what next season in the SPFL Premier League will deliver.

    As I’ve mentioned in a previous post playing second fiddle to CFC (or any other team for that matter) next season for me and I would suggest the real Rangers supporters isn’t acceptable, the objective assuming promotion this season must be to win the SPFL Premier League in season 2015/16 and at least one cup.

    Anything else is failure. CFC will win the SPFL Premier League this season for the fourth year in a row, this must be their last for a very long time.

    So if Paul Murray thinks that we’ll just sit about pouring season ticket money into Rangers while he works on his irrational and stupid 2022 plan, forget it Paul it’s champions year after year, title after title, that’s the Rangers way, that’s what Bill Struth and the great Rangers managers and players of the past aimed for, anything that falls short of this is unthinkable, unacceptable, it just will not do.

    But here’s the dilemma.

    As Stuart McCall seems to be turning a group of failures into a football team of some merit the “new” board and the “invisible” chairman will be delighted to hide behind this sudden outbreak of positivity around the club, when the team plays well and gets results do we care what is going on in the boardroom or who is actually sitting in there at the top of the famous marble staircase?

    Well in my opinion this time yes we do and it is a growing concern that we now have a situation whereby the much trumpeted “transparency” seems to have evaporated to be replaced by the usual secrecy of a group that doesn’t want anyone most of all the real Rangers supporters to know what they’re doing.

    Therefore the delisting from the AIM last week was not only predictable from the perspective of the “invisible” chairman and “new” board it was a welcome relief as they are now answerable to no one, they have carte blanche to do as they please and tell nobody not even the “boycotters” who helped them acheive their secret society inside Ibrox.

    So whilst the team needs our support and looks to be thriving under McCall this should not detract us for one moment from continuing to question the activities (or lack of them e.g. still not invested £30 million from Dave King, Nomad anyone, rock bottom shares) of the “new” board.

    Rangers the football team need our support and the real Rangers supporters delivered this and continue to do so, that’s what real Rangers supporters do, it’s a thankless task as we’ve seen but someone has to do it while Kingco and his boycotters deprived the club of cash and support we stayed the course, they didn’t.

    So support Rangers on the pitch but the real issues still remain off of it as each day passes Rangers the business hangs by a thread waiting, waiting for the promised investment, waiting for the promised return to “Rangers traditional ways”, waiting for the supporters to be properly engaged with the club and most of all waiting to see what the Easdales and MASH will do to recover their lost millions due to delisting and another raft of broken promises and commitments from the “invisible” chairman and his “new” board.

    So support the team, let’s get them over the line as it were and back to where the Rangers belong, but not for a moment cease to take our eyes and attention off the “new” board and it’s “invisible” chairman.

    Pre-EGM they promised investment up front from their own pockets, the real Rangers suppporters should not rest until this investment is visibly delivered.

      2. Soapy : I agree and I will do it as I’m of an age of going in early eighties , but we have a generation brought up on success and who want it now and what the boycott has succeeded in doing is give some a ready made excuse due to product on the park not to turn up.

        It is these fans that will look at Murray’s comments and say I will pick and choose just now and wait until he looks like buying and nurturing quality on the park that would give us a chance , until then we may have lost a good chunk of our support for a few years.

        The part I don’t get is if they all keep there promises and King gives his promised £30 million investment and Park steps up with that other £10 million and we get a good share issue say for another £10 million , that should guarantee us a shot at winning the title , then it if you can scrape into Champions league group stage that money, along with season book money plus higher sponsorship should guarantee you breaking even each year and winning the next title and champions league each year ! Was this not the original Murray plan ?

        Now it is 7 years and wait and see on investment .

    Marked change from the Swally/Clipboard double-act on show against the Tarts. Great player spirit and proper team result. Beating Hibs then Hearts like this.. haven’t seen the like in years.

    My joy is tempered however. Firstly the ‘loyal’ celebrate victory like they’ve won the Champions League, and it’s good purely from a football point of view that the crowds are going up again, but if I were a player I’d still be leaving with my head way down. As terrible as the previous management was, a 23-point or so gap is still embarrassing. Very embarrassing.

    Temps may be a big enough man now to speak of Costly’s ways of coaching in unflattering words, but were he and all his teammates voiceless before? Or did they just enjoy throwing cream pies atop rickety stool (as per training instructions) and being part of the travelling circus freak-show too much to want to challenge convention?

    Secondly, obviously Stuart McCall has been the catalyst for and instigator of the dramatic changes to the football that we all see. But if he has any self-respect, which he does have, he’ll leave. Fans wouldn’t tolerate Her Majesty the Queen managing Rangers, leading from the front to deliver trophyless season after trophyless season for ten years, or more.

    In addition, when we get outbidded by Bury for Vuckic we’ll be without the player that has been so instrumental for Stuart and played probably the biggest part in our recent Phoenician rise from the ashes.

    Thirdly, as the results and performances improve it waxes obvious to me just how much of an opportunity has been spurned. Not even getting into that.

I,m quick to criticise players at times so I will be quick to praise when deserved, so well done Nicky Law for giving the kind of performance expected of a Rangers player, which was one full of desire. That is all I as a supporter can ask. Nobody can play well every game but 100% effort is a given, just look across the pitch to your team mate McGregor who is not the most skilful of players but makes up for it with his desire and graft game after game.

    Two years after the formation of the Orange Order in 1795, the Royal Black Institution came into existence in Ireland in 1797 with its foundations based firmly on scriptural truths and the propagation of the Christian Reformed Faith.

    Unfortunately, records covering the immediate intervening years are scant, however, the earliest printed record available is dated 1858. This was printed and published at the Downpatrick Offices of “The Downshire Protestant”

    From that period the printed annual reports of the proceedings of the Institution are available and provide valuable insights into the progress of the Royal Black Institution throughout the English-speaking world in its initial formative years and afterwards.

    It was on September 14th 1846, at a meeting held in Portadown, that the Royal Black Institution was placed on a permanent base through its re-constitution. From that point in time the Institution was infused with new life, vitality, inspiration and discipline, a foundation, which has helped it stand the test of time and helped greatly in expanding the Institution to the worldwide membership that exists today.

    The tiered structure of the Institution has its foundation in the local Preceptory, which is known as the Royal Black Preceptory or RBP for short. Each Preceptory has a unique number, which is allocated by the governing body when a new warrant is issued.

    The Preceptory elects officers who represent their membership at the next tier, namely a District Chapter. Officers from the various local District Chapters come together and form a County or Provincial Grand Chapter.

    The Officers of the various County or Provincial Chapters constitute the membership of the governing body known as the Imperial Grand Council. This Council is recognised by all members of the Imperial Grand Black Chapter of the British Commonwealth, which is the title of the Institution. This is the title inscribed on all warrants, certificates correspondence etc. However, the Institution is commonly referred to as the Royal Black Institution.

    One of the Institution’s most colourful and well-attended events is the annual demonstration at Scarva in Co. Down, Northern Ireland, held traditionally on the 13th of July each year. Preceptories from Portadown, Newry, Tandragee, Markethill,, Banbridge, Rathfriland and Lower Iveagh take part along with many national and international visitors.

    Other demonstrations attended by the majority of Preceptories in Northern Ireland are organised on the last Saturday in August each year, usually across six different venues.

    A demonstration is also organised on the second Saturday in August in Fermanagh attended by Preceptories from Fermanagh, Cavan Donegal and Monaghan as well as one in Scotland attended by all the Scottish Preceptories.

    At the beginning of the 21st century, the Royal Black Institution is poised to continue its valuable role in maintaining its witness for the Christian Reformed Faith and fostering friendly relations among people of a common heritage on what is truly a worldwide scale.

    Well I was at game today and what a change Stuart has made too the players that useless Ally/Kenny had at their disposal showing that they should have been shown the door long before they were.Certainly lifted up my spirits and great to see such a good crowd at game again.Previously too put it mildly the place was Dead with no spirit at all and when that first goal went in this afternoon I thought the place was going too cave in on us.Two up was even better but when McCulloch was red carded no one seemed to know and only found out reading match reports.Anyway lets hope come QoS on Thursday we can keep scoring now were second with one game in hand too.Still as Stuart has mentioned that things can happen quickly in games with Hibs being on a great run and now their going the other way.

The boards plans could well be up in the air this week if we don’t beat both the Jambos and the Doonhamers, for the feel good that’s us turned the corner pish talk I have listened to since the Hibs win shows the lack of football knowledge of a lot of our fans. We were lucky against Hibs and we were 10 minutes away from another embarrassing result against the Blue Brazil. If results go against us this week the boards funding plans will be in tatters because the not so loyal will not purchase season tickets to watch a struggling Rangers team in any division of the SPFL. Park, Letham and Taylor will be hearing those dreaded words shortly ‘How are you fixed lads’ and that’s before this board tries to sell season tickets at much increased rates by the way. Did McCall really say we would be challenging for a European spot next season? More pish talk me thinks! And very very stupid considering our esteemed chairman,s 7 year plan didn’t mention that. We have spent the last 3 years and more suffering at the hands of ‘the problem’ how long will we have to suffer his fuckin pals??? now that he,s succeeded in helping them regain control of the Rangers by fuckin things up big time from within. I TELT YE!!!

    Ninjaman, well said, great post and comments, it really is hard to fathom how this “new” board believe that we the real Rangers supporters don’t see through their activities and statements.

    Wait a minute, we did, we did!

    I bought a lottery ticket this morning!

    I notice also that your post Ninjaman is being given air time in the Scotsman comments section of a Rangers article today as someone obviously from the CFC end of the country ended their piece (rant?) by calling you “one of the peeple”!

    Good luck to the team tomorrow, we really do need these three points however to watch at Ibrox a Rangers team applauding Hearts onto the pitch because they are champions will be hard to take given the level of spend by our gardening friends, it should have been Rangers.

    However we are where we are and if they can get these points tomorrow then it could be a very interesting few weeks as the season draws to a close and the play-offs beckon.

    It was also an eye opener (as if we didn’t know, we’ve watched the worst Rangers team ever assembled) that Templeton is saying the players weren’t being coached properly or prepared properly before games but that under Stuart McCall they now are!

    To Templeton I would say, thanks for telling us what we the real Rangers supporters already knew, it was obvious on the pitch and during the games themselves, how do you think that the players costing the second highest wage bill in Scottish football could perform so badly, it was because of the manager and his coaching staff plus there’s no doubt some of the players should not have been there at all.

  20. Spot on Kenny……..there are certain things in this whole sordid affair that absolutely reek of hypocrisy, lies and fraudulent activity in the manner these malcontents have destabilised an entire club and alienated ALL shareholders and investors to a man.

    Firstly, the abstention at the time by ALL the big investors was by design, so no matter what spin and bluster the shower of lying crooks in Ibrox say, there was a distinct and definite reason for it. If any of the large investors voted they would have been in agreement that the EGM and all the process and governance around it was cosher…..they evidently did not and by abstaining they have stated to the markets that they did not recognise and agree with the process….so when they DO start legal proceedings they are all in a unanimous position and unequivocally rejected it.

    “All I have done is, in advance of the change of board, ensured there is another Nomad willing to come in. The club has to appoint them so that process can only happen after the general meeting.

    “I’ve got one [lined up] who has done due diligence on the individuals but the key component for any Nomad is the club itself.

    “Nomads are concerned about the financial affairs of the club. It’s the one area where I’ve been able to give no more input than what I’ve read in the newspapers.

    “If we succeed tomorrow, and I think we will, then we will get it immediately. It’s a process that would be done in a day or so.”

    King will be delighted that his toxic status has resulted in no NOMAD being prepared to vouch for him. David Somers and James Easdale had no problems gaining a NOMAD in December of last year. So anyone not blinded by the lies of Murray and his puppet master, would ask why less than three months later the AIM suspension occurred. As we expected, the old board are blamed. However here are some facts that the most stupid seem to have an inability to grasp.

    The former board had a NOMAD. They had a credit line of £5M from a FTSE 100 company, interest free for five years and their auditor, Deloitte, had just compiled the interim statement in January prior to their resignation.

    RIFC had a capital value of £28,925,400 prior to suspension. Less than a month later RIFC are worth circa £1,629,600. So you can spin it all you like but this is a corporate disaster. It is not, as King would put it, a favourable result. King was inordinately smart not to appoint himself as a director as this would not play well when his petition to the Court of Session is under review. The credibility of RIFC is in the gutter, courtesy of King and his nodding dogs on the incompetent board.

    Every statement from Level 5 is pointing fingers at everyone other than those responsible for the pearl we are in. MAKE NO MISTAKE …. we are now in the worst situation in our 150 year history….the lunatics have taken over the asylum and Ibrox is collapsing as our illustrious pisspot of an ‘Interim’ whatever he wants to call him self …. does jack shit.

    I feel there will be a very dark and troubled future ahead for us ….lets face it no one will invest in us other than the ummmmm people we have now, the fans and ummmmm that’s it. The invisible £30m will be banded about and Level 5 spin will keep the puppets dancing the tune….but there is now a growing awareness that things are not right, can not be right and never will be right under this disgusting rancid rabble. There is no way we will even pass due diligence to join the ISDX market, so where does that leave us I wonder….anyone out there care to enlighten us just where the approx. £50m to get us back to the top of Scottish Football is coming from?     The Easdales have just lost over £2M due to delisting, solicitors acting on their behalf will seek recompense. Anyone with even a passing acquaintance with Sandy & James would know that they are not the kind of guys that you take advantage of. A legal case may be the least of King’s worries…..some may say.
    Any legal action by the Easdales is the least of King’s worries. Why? Because there are many more shareholders who may also be encouraged to take action. Do you honestly believe Mike Ashley will do nothing now his shares are toilet paper? He is a man with very deep pockets, the best lawyers, and doesn’t like to lose. Think about it. The door is open and all the current Directors are liable….. so those now wearing their blazers better start covering their backs….as the writ’s piling in will hold THEM responsible…not their puppet master pulling the strings in his SA bunker……as far away from it as he can be…. fuckin lowlife.

    “What if the block votes and larger shareholders knew Dave King didn’t have a NOMAD and that delisting was inevitable. How could you benefit from this situation? Simple, you let the vote go through, let the NOMAD myth play out, then pounce with legal action.

    Lambias was famously collared by press at the airport and asked the question of reporters, where’s the money and who is the NOMAD. He knew King didn’t have a NOMAD. So what did the Easdale block and Mr Ashley do? Give King enough rope to hang himself. That is the likely scenario. All those who voted for, or abstained, at the EGM could reasonable argue that they didn’t vote against based on statements made by Dave King. If this can be argued successfully in Court, this would be catastrophic for the new Board. Court action, if nothing else, would force the current Board to reveal exactly what was happening behind the scenes.

    What would the damages be? Considerable. Every “yes” voter and every abstainer could make a claim. The fans groups and fans might not. Mr King wouldn’t take himself to court so discount his block. Were the 3 bears properly advised? It may be they have something to say (though Mr Park is in a tricky position as a Board Member). Don’t be surprised if one or two of the 3 Bears start to distance themselves from Mr King. Some people were naive enough to think delisting was no big deal. Delisting is a nightmare scenario and we are well and truly up shit creek without a paddle.

    In yesterday’s RNS, which was a masterpiece in obfuscation. Paul Murray extolled the benefits of delisting from AIM. Millwall FC (MFC) could have been used as an example, not Arsenal. MFC chose to delist, it was not forced upon them due to a toxic director in their midst. In doing so, the Q&A above will provide an indication of what to expect from a small shareholding. Well lets look at how good it is to delist and relist on ISDX….
    If you bought £500 in shares of Millwall holdings about 15 years ago they are worth absolutely nothing. They were diluted to 0.05p and then re-issued 1 for a 100. So 100 old shares equals about 0.0005p. Having decimated their fans shareholding, the directors attempted to raise £7.8M from a rights issue. They raised £139,000. Prior to the relisting, the board offered 1 share in ISDX for 100,000 held on AIM. The directors managed to acquire 77.8% of all shares which coincidentally is precisely what Dave King’s family trust owns in his latest scam in Micromega Holdings Group.

    However, I read with astonishment that the RST are buying the old board corporate malfeasance lies as per the RNS. They are believing that a NOMAD had no problem with a convicted tax felon. Their gullibility beggars belief. They intend to invest more in whatever vehicle King chooses to offer shares, having first acquired a majority holding in RIFC. To achieve this, King requires just over 29 Million shares. At 2p per share, this will cost him £586,656, which he can draw from the family trust Oasis.

    The RST are so gullible and willing to be scammed that I would ask their members to take a long hard look at their governance and would ask ALL Rangers fans to start questioning this group’s policies and demand the answers to the difficult questions that need asking……

    I know Bill and you guys on here will keep asking and keep demanding….but we need more people to take their heads out from their arses and make a stand here…..before all that is left of our once great club is the history…..destiny is a funny thing….what ours is….who knows or dares to dream…..but the clock is still ticking …tick tock

    Investor Kieran Prior is also upset and has even named the Nomad he claims the club tried and failed to appoint in recent weeks – Cantor Fitzgerald, who failed to respond to requests for a comment from Record Sport.

    Fans’ groups, including Rangers Supporters’ Trust and Rangers First, admit the delisting is a disappointment but have blamed the previous regime and vowed to continue to work with King and Co to restore their club’s fortunes.

    An Easdale spokesman said: “I can confirm the Easdale grouping is considering legal action.

    “This cessation of listing is a blow to all serious shareholders and is in direct contradiction to the promises Dave King made in the lead up to the egm regarding appointment of a nomad.

    “The statement from Rangers is a masterpiece in obfuscation, presumably with the intention of disguising the fact that the shares will trade at a massive discount.”

    Prior supported King when he made his move to overthrow the previous board and is surprised at claims AIM wanted to wash their hands of the new regime.

    He said: “Dave was always clear he would do his utmost to maintain the AIM status. Paul Murray told me in a phone call this morning the prospective Nomad was Cantor Fitzgerald and I don’t know why this has not been made public.

    “I call on the board, for reasons of openness and transparency, to reveal the paper trail that outlines discussions with Cantor Fitzgerald.

    “They should reveal details of the discussions with the Stock Exchange that led to the prospective Nomad being unable to take up their appointment.

    On the current issues and as I previously stated, is not a fact that if King and Murray lost the EGM we would not only have a NOMAD but we would still be trading on the AIM ? So I find it disingenuous of Murray to make the claims against the previous board. I mean its logical is it not how can he blame them when the fact is we would still be trading if they won the EGM. !

    As you say it beggars belief and despite the amount of vociferousness spouted by his minions his claims are not going down well with a better informed support and we can see his double bluff and end game for what they are.       I raised that many many months ago as to why a club going through a financial meltdown would be Dave King’s biggest source of income at the time, I made it around £16.8m so around the £17m you have stated looks spot on to me.

      THE South African Revenue Service (SARS) stands by its tax assessment of Dave King, which found that he owed R913m, despite the businessman’s insistence in a recent media briefing that the taxman had conceded during legal action that 92% of the assessment was no longer valid.
      At the briefing last week, King said he planned to launch an action by the end of the year in the Income Tax Court to have his tax liabilities reassessed. It will be on the grounds that most of the tax claim against him is based on South African assets, which include a Sandhurst property in Johannesburg, a Ferrari and a Hawker 800 XP and Falcon 900 aircraft.
      If successful, he said, the move would force SARS to start its legal action against him from scratch, based on new assessments.

      What SARS is questioning, according to this was “whether the transfer from Ben Nevis to Metlika was an improper transaction in the sense of constituting a fraud on SARSas the creditor or future creditor”.
      Any fraudulent transaction could be declared null and void, making it possible for the taxman to collect on its taxes from Ben Nevis.
      King holds that he cannot be taxed on assets he does not own and it is on these grounds that he will take the case to the Income Tax Court. But SARS contends he can be taxed if he obtains benefits from those assets.

For other readers a quick recap on King’s activity in South Africa will bring them up to speed. King passed himself off as a Chartered Accountant in South Africa. When he met fellow Scot Greg Morris, who was passing himself off as a Financial Director at Umgeni Water, they created a company, Specialist Outsourcing, to managed their treasury division. Morris became a director of SO as soon as the ink was dry on the contract. In 1997 they listed on the JSE and with improbable quarterly financial returns they created a company built on sand. The secretly siphoned off their shares, leaving behind a company that would soon lose all its contracts due to their incompetence or malfeasance. King;s profits were 1.2B Zar, which at that time was circa £76M. He put half of this in a myriad of offshore trusts, which all led, often via circuitous routes, to his bank accounts in London. The net result of this tax evasion was 2.75% of the principal sum which realised £82,000 per month. The other £38M was spent on toys. property and an investment in RIFC. In 2006, all his accounts were frozen for a period of seven years. His deal with SARS allowed him to access his accounts that now contained £46M. However with the settlement, fines and legal fees there is nothing left. His aircraft have depreciated and would probably command only £10M if he could find a buyer. He and Morris are also playing the same crooked Specialist Outsourcing game at Micromega. The capital value has been ramped up 462% in Q4 of last year on inordinately thin trading conditions. They are going to dump these shares in the short term. If they get away with it, they will realise even more than their equity heist in 1997-1999. Today, King received word that he would not be precluded from being a director in RIFC due to insolvency legislation. Keith Jackson is spinning this to state that he has been deemed to be fit & proper.
        Nothing could be further from the truth. King stated that today’s announcement would give the SFA a level of comfort. He was lying. There is no SFA fit & proper test. King knew that the LSE would have blocked him as a director of an AIM listed club, so he delisted. It’s simple when you know how and have no regard for the carnage you leave behind. Now all he has to do is raise £5M in a rights issue to pay off Ashley and secure another loan of £1.5M from TPL. King enjoys using other people’s money. It gives him a kick to burn them.

Should a listing on the ISDX fail, which will of course be attributed to Somers/Easdale/Llambias/Leach (SELL), King will be one more step closer to his objective which is to acquire The Rangers Football Club Ltd and add it to his portfolio of companies held under the umbrella of Micromega Holdings Group which is listed on The Johanessburg Stock Exchange. King’s family trust owns 77% of this company, that is built on sand. King’s co-defendant on racketeering charges. Greg Morris owns the majority of the remaining 23%. Investors who lost their shirts when they were ripped off by King&Murray in Specialist Outsourcing, have steered clear of two individuals charge with 328 offences, including falsifying quarterly returns to inflate the share price.
        This dearth of professional investors is a problem for King. If he were to add Rangers to his stable of companies, he might be able to not only increase the share price, but also begin the process of siphoning off his equity at the peak of the market. Will these investors be ripped off? Of course. King has been ripping off those stupid enough to consider him a man of fiscal probity, a chartered accountant who qualified in Scotland. He sold himself as financial guru with ACCA qualifications. Greg Morris, with no qualifications whatsoever, lied his way into a position of FD at Umgeni Water. I see this as a plausible end game. Murray is already listed as a director of TRFCL which he achieved in his first day in position. King, as chairman of RIFC, can choose, with the tacit consent of his nodding dog board, to extricate TRFCL from RIFC and then step in with Micromega. Of course Ashley will have to be paid off. With no ISDX the rights issue will be nothing short of a donation from the fans. As soon as someone pays of Ashley, then watch King go to work and prepare to lose heavily to the biggest spiv to ever darken our door.

However, given that the heading of Ninjaman’s excellent article includes Debacles, then the IP heist should be included. Sports Direct Retail Ltd now own every trademark. some of which date back to 1967, that pertain to Rangers. They own the actual name of the club. They own all the badges. They own ‘Follow Follow.’ Eberything. They even own the rights to Broxi The Bear. Let’s be quite clear what this means. Should the new board wish to call our club Rangers, they can only do so with the written permission of SD. If they wish to use the badges, they must do so with the writen permission of SD. Should SD wish to receive a fee for the use of THEIR INTELLECTUAL PROPERTY then they can do so. However there is much more to this. Should the new board ever wish to remove SD from Rangers Retail Ltd, after the lease is up in 2017, they cannot do so as 24% of the RRL profits is better than nothing. However here is the real kicker. At the end of the 5 year lease, SD can walk away as they don’t need the new board to sell all Rangers merchandise. SD own the IP.

      As the facts begin to emerge, we discover that the IP registration was on 25/3/15. However the actual deal must been concluded prior to the suspension of Llambias & Leach. What did L&L trade for the IP. My guess is Ibrox. The Land Registry confirmed that SD had the title (ownership) of Ibrox, subject to the terms to secure the asset. When the £10M loan RNS was published, Ibrox was removed from the security. I read every last detail of the published RNS. I did not see any mention of the IP transfer. SD are evidently concerned that King will engage in some artifice (delisting/administration/liquidation/ new holding group) as per his bent dealings in RSA. The IP heist gives SD control. King now has a paper crown. Truly astonishing.

      2. Thank you for your response Ninjaman. I’m indebted to Grant Russell of STV and his in-depth analysis of the IP transfer terms and conditions. To summarise, if we pay £5M we retrieve our trademarks and of equal import our heritage. The badges, crests and registered names are our DNA and no-one should have used them as a security to an individual whose objective is to own the retail interests of as many clubs as possible. He currently has five clubs in his portfolio. The RNS led me to the conclusion that the IP was at risk but few expected our IP to be listed as owned by SD.

        As part of the transfer to SD they have given licence to The Rangers Footbal Club Ltd to use the IP but have precluded their use in any retail venture outwith Rangers Retail Ltd. Therefore any new income streams will be subject to the approval of Rangers Retail, which is controlled by SD.

        There is no fixed term on the £5M loan so if it is not paid off there will be no merchandising income whatsoever. With 75% of any profits and dividends, Rangers Retail Ltd also have an onerous arrangement where TRFCL must pay for any stock that remains unsold at season end. Should Rangers Retail decide to launch a new away strip next season, they can do so safe in the knowledge that their old stock will be paid for at full retail price by TRFCL.

        Douglas Park loaned £1.5M until December. Would he increase this loan to £6.5M with no security? It would be imprudent to do so. Does King have £5M? If he has an offshore trust that the Serious Fraud Office could not find I would be inordinately surprised. He has assets that he could use as securities to raise finance but he might now realise that with no income from merchandising and any retail initiatives subject to SD control, there would be no possible return on his investment.

        Having a security on Edmiston. Albion and Auchenhowie is an inconvenience. Losing the IP, even tempoirarily to SD, makes Rangers more unattractive as an investment opportunity and is bound to have a negative impact on any rights issue as what would fans be investing in? Rangers without their IP is not the Rangers that I have followed man and boy.
